1. Agreement to These Terms
These Terms of Use govern your purchase, download, installation, account access, and use of Arclade. Arclade is operated by Dillon Leto ("Operator," "Arclade," "we," "us," or "our").
By checking the legal acknowledgment box during checkout and completing a purchase, or by using an Arclade account, activating a license, downloading the software, or using Arclade, you agree to the applicable version of these Terms.
2. Electronic Acceptance and Records
Arclade may maintain an electronic record identifying the legal version acknowledged during checkout, the associated account or email, the transaction, the applicable license, and the date and time of acceptance. Arclade may provide an electronic copy of the applicable agreements after purchase for your records.
3. License
Subject to these Terms and payment of applicable charges, Arclade grants you a limited, non-exclusive, non-transferable license to install and use Arclade for lawful purposes within the activation or device limits applicable to your plan. The software is licensed, not sold.
You may not, except where permitted by law or an applicable third-party license:
- resell or sublicense an Arclade license;
- circumvent activation, licensing, access-control, or security mechanisms;
- use stolen, fraudulent, or unauthorized license credentials;
- intentionally interfere with Arclade services or infrastructure; or
- represent yourself as the owner or operator of Arclade.
Nothing in these Terms limits rights granted directly to you under an applicable third-party open-source license.
4. Accounts
Some Arclade features require an account. You are responsible for maintaining control of the email account used to access Arclade and for activity performed through your account. Contact Arclade promptly if you believe your account, login credentials, or license information has been compromised.
5. Plans and Pricing
Monthly — $4.99 per month
The Monthly plan automatically renews monthly until canceled.
Yearly — $49.99 per year
The Yearly plan automatically renews annually until canceled.
Lifetime — $99.99 one-time payment
The Lifetime plan does not have a recurring subscription charge.
The price and billing frequency presented during checkout control if a formally published pricing change causes a difference from the amounts above. Applicable taxes may be added where required.
6. Meaning of Lifetime
"Lifetime" means a non-expiring Arclade software license purchased through the Lifetime plan and does not create a recurring subscription charge. A Lifetime license does not guarantee that every third-party dependency, operating system, AI model, online service, hardware platform, or external service will remain available forever. Future optional services or separately identified products may be sold separately.
7. Automatic Renewal
Monthly and Yearly plans automatically renew using the payment method associated with the subscription unless canceled before renewal. The amount and billing frequency are disclosed before purchase. Additional notices will be provided when required by applicable law.
8. Cancellation
You may cancel a recurring subscription to prevent future renewal charges. Unless a refund is granted or another arrangement is stated, cancellation normally takes effect at the end of the already-paid billing period. Cancellation does not automatically create a right to a refund for time already purchased.
9. Payments
Payments are processed by Stripe or another payment processor identified during checkout. Payment-card information entered through Stripe is processed by Stripe rather than stored as complete card numbers in Arclade's licensing database. You authorize the payment processor to charge the amount and, for recurring plans, the renewal frequency presented at checkout.
10. License Keys and Activation
Arclade may issue a license key or other activation credential after purchase. You are responsible for keeping any customer-facing license key provided to you. Arclade may retain a protected representation, identifier, or partial hint associated with a license rather than retaining the complete customer-facing key in retrievable form.
If a purchase is refunded, reversed, charged back, fraudulent, or otherwise invalidated, the associated license may be suspended or revoked.
11. Installation and System Changes
Arclade may require administrator permission to install. Installation may enable or configure system components and may download third-party software or dependencies. You are responsible for reviewing system requirements and maintaining appropriate backups.
12. Updates
Arclade may make available software, installer, security, compatibility, dependency, database, configuration, AI-model, or other updates. Some updates may be necessary for continued compatibility, security, licensing, or support. Arclade may verify update packages or components using checksums, signatures, or other integrity controls.
13. Third-Party Software
Arclade incorporates, downloads, configures, or interoperates with software created by third parties. Third-party software is governed by its own applicable license, copyright notice, and terms. Arclade's Third-Party Notices will identify bundled or distributed components where required.
14. Customer Content
You retain ownership of documents, files, text, databases, and other content that you place into Arclade. You are responsible for having the right to possess and process that content and for maintaining appropriate backups.
15. Prohibited Use
You may not use Arclade to intentionally violate applicable law, compromise another person's systems or accounts, distribute malicious software, bypass licensing controls, or unlawfully access information belonging to another person.
16. Intellectual Property
Except for third-party components governed by their own licenses, Arclade's branding, proprietary software, website content, graphics, documentation, and other proprietary materials remain the property of the Operator or applicable rights holder.
17. Beta Software
While Arclade remains in beta, the Beta Software Agreement forms part of these Terms. You acknowledge that beta software may contain defects, incomplete features, compatibility problems, or unexpected behavior.
18. No Professional Advice
Arclade and its AI features provide software tools, not professional services. Output produced by Arclade is not a substitute for professional legal, medical, financial, tax, engineering, safety, or other professional advice.
19. Service Availability
Reasonable efforts may be made to keep Arclade's online account, licensing, download, and update infrastructure available. Continuous or uninterrupted availability is not guaranteed.
20. Suspension or Termination
Arclade may suspend or terminate access where reasonably necessary because of fraud, chargebacks, security abuse, unauthorized resale, circumvention of licensing controls, material violation of these Terms, or legal requirements. Where practical, Arclade may provide notice and an opportunity to resolve the issue.
21. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARCLADE IS PROVIDED "AS IS" AND "AS AVAILABLE." NO WARRANTY IS MADE THAT ARCLADE WILL BE UNINTERRUPTED, ERROR-FREE, COMPATIBLE WITH EVERY SYSTEM, OR SUITABLE FOR EVERY PURPOSE.
Some jurisdictions do not allow certain warranty disclaimers, so some limitations may not apply to you.
22. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM ARCLADE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOTAL LIABILITY FOR A CLAIM ARISING FROM ARCLADE WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE ARCLADE LICENSE OR SUBSCRIPTION GIVING RISE TO THE CLAIM.
These limitations do not exclude liability that cannot legally be limited or excluded.
23. Changes to These Terms
Arclade may update these Terms as the product, service providers, business practices, or legal requirements change. The effective date and Legal Version identify the applicable version. A later version will not silently rewrite the historical record of the version associated with an earlier purchase.
24. Applicable Law and Consumer Rights
These Terms are subject to applicable law. Nothing in these Terms waives consumer rights that cannot legally be waived.
